• Posting ideas on this platform makes them publicly visible and does NOT establish ownership or legal protection
• Records on this platform are NOT legal proof of ownership and carry NO legal weight
• We are NOT responsible if someone steals, copies, or uses your ideas without permission
• You are SOLELY responsible for protecting your own intellectual property through proper legal channels (patents, trademarks, copyrights, NDAs, etc.)
• By using this platform, you acknowledge that you post ideas at your own risk
• We strongly recommend consulting with an intellectual property attorney before sharing valuable or sensitive ideas

1. Acceptance of Terms

By accessing or using ThoughtSpace ("the Platform", "Service", "we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform.

We reserve the right to modify these terms at any time. Continued use of the Platform after changes constitutes acceptance of the modified terms.

2. Description of Service

ThoughtSpace is a community platform for sharing creative work. The Platform provides tools for:

• Uploading notes (ideas)
• Collaborating with other users
• Community Interaction and Thought Groups
• Marketplace for buying/selling ideas and resources

The Service is provided "AS IS" without warranties of any kind. We do not guarantee uninterrupted access, data preservation, or protection of your content.

3. Intellectual Property and User Content

3.1 Your Content Ownership

You retain ownership of content you post on ThoughtSpace. However, by posting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content on the Platform.

3.2 NO INTELLECTUAL PROPERTY PROTECTION

CRITICAL: We provide ZERO protection for your intellectual property.

• Anyone can view, screenshot, copy, or use your posted ideas
• We cannot prevent idea theft or unauthorized use of your content
• We are NOT liable for any damages resulting from theft or misuse of your ideas
• You post at your own risk and are solely responsible for protecting your IP rights

3.3 Platform Content License

All Platform features, design, code, and functionality are owned by ThoughtSpace and protected by copyright and trademark laws. You may not copy, modify, or reverse engineer any part of the Platform.

4. User Responsibilities and Conduct

You agree NOT to:

• Post illegal, harmful, threatening, abusive, harassing, defamatory, or offensive content
• Impersonate others or provide false information
• Violate others' intellectual property rights
• Spam, advertise without permission, or engage in commercial activities without authorization
• Attempt to hack, disrupt, or compromise Platform security
• Use automated tools (bots, scrapers) without permission
• Share others' private information without consent
• Engage in any activity that could harm the Platform or other users

Violation of these terms may result in immediate account suspension or termination without refund.

5. Paid Services and Subscriptions

5.1 Subscription Plans

ThoughtSpace offers free and paid subscription plans (Free, Starter). Paid features include free plan, earning details, and boost perks

5.2 Billing and Payments

• Subscriptions are billed monthly
• All payments are processed through Stripe and subject to their terms
• Prices are subject to change with 30 days notice
• You authorize automatic renewal unless you cancel before the renewal date

5.3 Refunds and Cancellations

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. We do NOT provide refunds for partial months or unused time. All sales are final unless required by law.

5.4 Marketplace Transactions

When buying or selling ideas/resources in the marketplace, you agree to our 10% platform commission. We are NOT responsible for disputes between buyers and sellers. All transactions are final unless both parties agree to a refund.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• ThoughtSpace is provided "AS IS" without warranties of any kind
• We are NOT liable for any direct, indirect, incidental, special, or consequential damages
• We are NOT responsible for idea theft, data loss, service interruptions, or unauthorized access
• We are NOT liable for any damages resulting from your use or inability to use the Platform
• Our total liability to you for any claims shall NOT exceed the amount you paid us in the last 12 months
• We do NOT guarantee accuracy, reliability, or availability of the Service

7. Indemnification

You agree to indemnify, defend, and hold harmless ThoughtSpace, its owners, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, your content or actions on the Platform, your violation of others' rights, or any disputes with other users.

8. Privacy and Data

Your use of ThoughtSpace is subject to our Privacy Policy. By using the Platform, you consent to our collection and use of your data as described in the Privacy Policy. We cannot guarantee the security of your data. You are responsible for keeping your account credentials secure.

9. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your access to the Platform will be immediately revoked, your content may be deleted, you will NOT receive refunds for any unused subscription time, and all restrictions and obligations in these Terms will survive termination.

10. Dispute Resolution and Governing Law

These Terms are governed by the laws of [Your State/Country]. Any disputes arising from these Terms or your use of ThoughtSpace shall be resolved through binding arbitration, except where prohibited by law. You agree to resolve disputes individually and waive any right to participate in class action lawsuits.

11. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and ThoughtSpace
• Severability: If any provision is found invalid, the remaining provisions remain in effect
• No Waiver: Our failure to enforce any right does not waive that right
• Assignment: You may not transfer your rights under these Terms
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our control
